Terms and Conditions

These Terms and Conditions ("Terms") govern your use of MindingTheGap, a service operated by Devxstate Holdings LLC ("we," "our," or "us"). By creating an account and using MindingTheGap, you agree to these Terms.

1. The Service

MindingTheGap is a software service that connects to your Google Calendar and automatically sends SMS and email notifications to your clients based on calendar events. The service uses AI to generate message copy on your behalf.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. The service is intended for contractors and small businesses operating in the United States.

3. Your Responsibilities

You are responsible for ensuring that your clients have consented to receive SMS and email messages from you before entering their contact information into MindingTheGap. You agree not to use the service to send spam, unsolicited messages, or messages that violate any applicable law, including the Telephone Consumer Protection Act (TCPA).

You are responsible for the accuracy of the information you provide, including client names and phone numbers. You agree to use the service only for legitimate business communications related to your contracting work.

4. Pricing and Billing

MindingTheGap is offered at $199 per month with a 7-day free trial. A valid credit card is required to start the trial. You will be charged $199 at the end of your trial period and on the same date each month thereafter. You may cancel at any time; cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.

5. SMS Messaging

By using MindingTheGap, you authorize us to send SMS messages on your behalf to the phone numbers you provide. Message and data rates may apply to your clients depending on their carrier plan. All messages include instructions to reply STOP to opt out. We will honor all opt-out requests promptly.

You represent that you have obtained proper consent from each client whose phone number you enter into the service, as required by applicable law including the TCPA.

6. Google Calendar Integration

MindingTheGap requires access to your Google Calendar to function. By connecting your Google account, you authorize us to read your calendar events for the purpose of triggering automated client communications. We do not modify, delete, or create calendar events. You may revoke this access at any time through your Google account settings or through the MindingTheGap dashboard.

7. Disclaimers

MindingTheGap is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or that all messages will be delivered successfully. SMS delivery is subject to carrier conditions outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, Devxstate Holdings LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of MindingTheGap, including but not limited to lost business, missed appointments, or undelivered messages. Our total liability to you shall not exceed the amount you paid us in the 30 days preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account at any time if we believe you are violating these Terms or using the service in a way that harms others. You may cancel your account at any time from the billing section of your dashboard.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via email at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of New York.
